Terms of Service

1. Agreement to these Terms
These Terms of Service govern access to and use of Opedia websites, Seller participation, Buyer requests, advertising services, and related network features operated by Chronicles 100 Corp. By using an Opedia service, submitting information, purchasing a service, or accepting a Seller acknowledgement, you agree to these Terms and any policies referenced here.
2. The Opedia service
Opedia helps Buyers describe what they need and allows eligible Sellers to discover and compete for relevant opportunities. Opedia may organize, match, transmit, display, or facilitate information, but it is not ordinarily a party to the transaction ultimately made between a Buyer and Seller. Opedia does not guarantee that any request will produce an offer, sale, customer, revenue, or other result.
3. Eligibility and accurate information
You must provide truthful, current, and complete information and keep it reasonably updated. Businesses are responsible for their own licenses, permits, insurance, taxes, professional qualifications, product claims, and compliance with applicable law. Opedia may verify information, request documentation, approve or decline participation, or limit the markets in which a Seller may participate.
4. Buyer privacy and communications
Buyer identity and private contact information may remain confidential during competition. A Seller may use Buyer information only for the opportunity for which it was provided and only as authorized by the Buyer and Opedia. Users may not sell, disclose, scrape, repurpose, or use contact information for unrelated solicitation.
5. Seller offers and conduct
Sellers must present truthful, current offers and clearly disclose prices, required charges, material conditions, limitations, timing, availability, and what is included. Sellers may not impersonate another party, manipulate a competition, submit deceptive content, interfere with the service, evade Buyer privacy protections, or use an Opedia opportunity to bypass the Opedia competition process.
6. Seller participation, pricing, and additional Opedias
Seller participation prices, included Opedias, multi-Opedia rates, promotional terms, and complimentary participation periods are those shown in the applicable order, checkout, invoice, or written offer. Selecting or requesting an additional Opedia does not guarantee approval for that market. Unless expressly stated otherwise, fees for advertising and Seller participation are separate services.
7. Recurring payments and cancellation
If you authorize recurring billing, the disclosed amount will be charged at the stated interval until cancelled. You may cancel future renewals at any time without a cancellation penalty. Cancellation stops future renewal charges but does not ordinarily refund completed billing periods or amounts already earned, except where required by law or expressly stated in writing. Material pricing changes will be disclosed before they take effect.
8. Advertising, checks, and complimentary participation
Advertising orders may be paid electronically or, when accepted by Opedia, by check or another approved offline method. An offline order is not paid until Opedia records the payment as received. Complimentary Seller participation connected to an advertising purchase applies only for the duration and Opedias stated in the order. At expiration, participation may pause unless the parties renew the advertising arrangement or establish paid Seller participation.
9. Content and intellectual property
You retain ownership of content you submit. You grant Opedia a nonexclusive license to host, reproduce, format, distribute, and display that content as reasonably necessary to operate and promote the service. Opedia names, designs, software, workflows, and original content remain the property of their respective owners and may not be copied or exploited without permission.
10. Third-party businesses and links
Seller listings, offers, advertisements, links, and third-party services do not constitute an endorsement or guarantee by Opedia. Buyers and Sellers are responsible for evaluating one another and for the contracts, payments, products, services, representations, warranties, and disputes arising from their transactions.
11. Suspension and termination
Opedia may suspend or terminate access, participation, listings, offers, or advertising for nonpayment, suspected fraud, legal or safety concerns, material violations of these Terms, misuse of Buyer information, or conduct that threatens users or the integrity of the network. Where practical, Opedia may provide notice and an opportunity to correct the issue.
12. Disclaimers and limitation of liability
The service is provided on an “as available” basis to the fullest extent permitted by law. Opedia disclaims warranties not expressly made in writing. To the fullest extent permitted by law, Opedia and Chronicles 100 Corp. will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from use of the service or a transaction between users.
13. Responsibility for claims
You are responsible for losses, claims, or expenses arising from your content, business conduct, violation of law, infringement of another party’s rights, or material breach of these Terms, to the extent permitted by applicable law.
14. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise. Before filing a claim, the parties should attempt in good faith to resolve the matter through direct written communication.
15. Changes and contact
Opedia may update these Terms as the network develops. The effective date will be updated when material revisions are published. Questions about these Terms may be submitted through the Contact page on Opedias.com.
